T&C DELIVERY PARTNERS – ZIPSPEEDS

Zipspeeds Smart Technology and Transport Logistics Private Limited (here in after referred to as the "ZIPSPEEDS" / "We"/"Us"/"Our" , which expression, if the context otherwise required, shall mean and include it's successor, assign and Affiliates)
By signing up as a Driver/Delivery Partner, you agree to the following Terms and Conditions:

1. Definitions

1.1 Company – Zipspeeds Smart Technology and Transport Logistics Private Limited , known as "ZIPSPEEDS" , the platform facilitating on - demand logistics and delivery services.

1.2 Driver/Delivery Partner – An individual or entity registered with Zipspeeds to provide delivery services.

1.3 Vehicle – Any authorized two-wheeler, three-wheeler, or four-wheeler used for deliveries.

1.4 Service Area – The geographic region where Zipspeeds operates.

2. ELIGIBILITY & REGISTRATION

2.1 You must be at least 18 years old and legally allowed to work as a delivery partner in your area.

2.2 You must possess a valid driving license, vehicle registration certificate (RC), insurance, PUC certificate, and any other legally required permits.

2.3 You must provide accurate personal and vehicle details and update them if any changes occur.

2.4 Zipspeeds reserves the right to verify your background, including criminal and driving history.

3. ROLE & RESPONSIBILITIES

3.1 You agree to act as an independent contractor and not as an employee, agent, or representative of Zipspeeds.

3.2 You are responsible for maintaining your vehicle, fuel, insurance, and compliance with local transport laws.

3.3 You must follow all traffic laws, ensure road safety, and avoid reckless driving or misconduct.

3.4 You must handle packages with care and confidentiality, ensuring timely and safe deliveries.

3.5 You shall not misuse, open, or damage any package and must report any suspicious or restricted items.

3.6 You must not engage in harassment, abuse, or misconduct towards customers, businesses, or Zipspeeds representatives.

3.7 You must not subcontract or assign delivery tasks to another person without prior approval.

4. FEES, PAYMENTS & INCENTIVES

4.1 Payments will be made as per Zipspeeds' rate card, per-trip earnings, bonuses, and incentives.

4.2 Incentives, including joining bonuses and performance-based rewards, are subject to Zipspeeds' policies and may change over time.

4.3 Payments will be credited to your registered bank account or wallet, with applicable deductions like platform fees, taxes, or penalties.

4.4 In case of payment disputes, you must raise concerns within 7 days, and Zipspeeds will investigate the issue.

5. VEHICLE & EQUIPMENT REQUIREMENTS

5.1 Your vehicle must be in good working condition, legally registered, and fit for commercial delivery use.

5.2 If required, you must use Zipspeeds' branding materials, including stickers, delivery bags, or uniforms.

5.3 You are responsible for fuel costs, maintenance, and repair expenses of your vehicle.

5.4 If a company-provided device (such as a mobile or GPS tracker) is issued, you must use it responsibly and return it upon request.

6. INSURANCE & LIABILITY

6.1 You must have valid vehicle insurance, and Zipspeeds is not liable for any vehicle damage, accidents, or personal injuries.

6.2 Zipspeeds is not responsible for third-party claims, legal violations, or penalties arising from your actions.

6.3 In case of loss, theft, or damage to packages due to negligence, you may be liable for compensation.

6.4 Zipspeeds will not cover medical or accidental expenses, and drivers are encouraged to have personal insurance.

7. TERMINATION & SUSPENSION

7.1 Zipspeeds may suspend or terminate your partnership if you:

Violate traffic laws, engage in fraud, theft, or misbehavior.

Repeatedly cancel or refuse deliveries without valid reasons.

Provide false documents or misleading information.

Are involved in illegal activities, harassment, or substance abuse.

7.2 You may terminate this Agreement at any time by providing notice and clearing any outstanding payments.

8. TAXATION & COMPLIANCE

8.1 As an independent contractor, you are responsible for paying your own taxes (GST, income tax, etc.) as per local regulations.

8.2 Zipspeeds may deduct applicable taxes at source (TDS) as per government rules.

9. INTELLECTUAL PROPERTY & BRAND USAGE

9.1 You cannot use Zipspeeds’ logo, name, or branding for unauthorized activities.

9.2 Any intellectual property or technology provided by Zipspeeds (such as mobile apps) must not be copied, modified, or misused.

10. DISPUTE RESOLUTION & GOVERNING LAW

10.1 Any disputes shall be resolved amicably through negotiations. If unresolved, it will be handled under the jurisdiction of [Your City/Country] courts.

10.2 This Agreement shall be governed by the laws of India (or applicable region of operation).

11. DATA PRIVACY & CONFIDENTIALITY

11.1 Zipspeeds may collect, store, and process your personal and vehicle data for service-related purposes.

11.2 Your data will not be sold or misused, but may be shared with legal authorities if required.

11.3 You must keep customer details, addresses, and package information confidential.

12. MODIFICATIONS & UPDATES

12.1 Zipspeeds reserves the right to modify or update this Agreement at any time, with prior notice.

12.2 Continued use of Zipspeeds’ services after changes implies your acceptance of revised terms.

13. FORCE MEASURE

Zipspeeds is not liable for service failures due to natural disasters, strikes, government restrictions, or unforeseen circumstances.

14. GENERAL TERMS

14.1 This Agreement does not create an employment relationship. You are an independent contractor.

14.2 If any clause is found unenforceable, the remaining clauses shall still be valid.

14.3 You acknowledge that you have read, understood, and agreed to these Terms and Conditions before registering as a Driver/Delivery Partner.
